These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," "you," or "your") and Wylfris Systems Inc., a Canadian corporation with registration VAT: 839205174 RT 0001, located at 161 Bay St., Toronto, ON M5J 2S1, Canada ("Company," "we," "us," "our"). By accessing, browsing, or using our website, products, services, or materials (collectively, "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately discontinue use of our Services.

We grant you a limited, non-exclusive, non-transferable, revocable license to use our Services solely for lawful purposes and in accordance with these Terms.
All content, materials, designs, trademarks, logos, and intellectual property contained on our website and in our Services are the exclusive property of Wylfris Systems Inc. or our licensors. You acknowledge that all such intellectual property is protected by Canadian and international copyright, trademark, and patent laws. You may not reproduce, distribute, transmit, modify, adapt, translate, or create derivative works from any of our intellectual property without our prior written consent. Unauthorized use of our intellectual property may result in legal action.
Should you submit, upload, or contribute any content to our Services, including feedback, testimonials, reviews, or suggestions ("User Content"), you grant Wylfris Systems Inc. a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, translate, and distribute such User Content. You warrant that your User Content does not infringe upon the intellectual property rights of third parties and is not unlawful, defamatory, obscene, or otherwise harmful. You retain ownership of your User Content, but acknowledge that the Company may use it without further compensation to you.
Wylfris Systems Inc. endeavors to provide accurate descriptions of our industrial filtration products and services. However, we do not warrant that all descriptions, photographs, pricing, or other content are entirely accurate, error-free, or current. We reserve the right to correct errors, modify product specifications, and update pricing without prior notice. While we use reasonable efforts to ensure technical accuracy, some content may contain typographical, photographic, or informational errors. 6.1 Pricing. All prices are quoted in Canadian dollars (CAD) unless otherwise specified. Prices are subject to change without notice, though we will endeavor to provide advance notification of material price changes. Prices do not include applicable federal, provincial, or territorial sales tax, GST, HST, or other applicable taxes, unless explicitly stated.
6.2 Payment Methods. We accept payment by credit card, bank transfer, and other methods as specified during checkout. You authorize us to charge your selected payment method for the full amount of your order plus applicable taxes and fees.
6.3 Invoicing. For business accounts, invoices will be issued upon delivery of Services. Payment is due within 30 days of invoice date unless otherwise agreed in writing. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
Wylfris Systems Inc. ships products in accordance with your delivery instructions and applicable carrier terms. Risk of loss transfers to you upon delivery to the carrier or your specified address. We are not responsible for delays caused by carrier errors, weather, or circumstances beyond our reasonable control. Delivery timelines are estimates and do not constitute binding guarantees. 8.1 Products. Wylfris Systems Inc. warrants that products supplied are free from defects in materials and workmanship under normal use for a period of twelve (12) months from the date of delivery, subject to proper installation, operation, and maintenance in accordance with provided specifications.
8.2 Services and Website. Our Services and website content are provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that our Services will be uninterrupted, error-free, secure, or meet your expectations.
8.3 Exclusion. Some jurisdictions do not permit the exclusion of implied warranties. To the extent permitted by law, the above disclaimers apply to the fullest extent possible.
To the maximum extent permitted by Canadian law, Wylfris Systems Inc. shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from your use of or inability to use our Services, including but not limited to lost profits, lost revenue, lost data, or business interruption, even if we have been advised of the possibility of such damages.
Our total aggregate liability for all claims arising from these Terms or your use of our Services shall not exceed the total amount paid by you to Wylfris Systems Inc. in the twelve (12) months preceding the claim.
Some jurisdictions do not permit limitations of liability. To the extent permitted by law, these limitations apply to the fullest extent possible.
You agree to indemnify, defend, and hold harmless Wylfris Systems Inc. and its officers, directors, employees, agents, and representatives from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of our Services; (b) your breach of these Terms; (c) your violation of any law or regulation; (d) your User Content; or (e) your infringement of third-party intellectual property rights.

Wylfris Systems Inc. reserves the right to suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: breach of these Terms, violation of law, non-payment, or conduct that we deem harmful to our reputation or operations. Upon termination, your licenses granted under these Terms immediately expire, and you must cease all use of our Services.
Products may be returned within thirty (30) days of delivery in unused, original condition with all packaging and documentation. Refunds will be issued in the original payment method within ten (10) business days of receipt and inspection. Custom or made-to-order products are non-returnable unless defective. Your use of our Services is governed by our Privacy Policy. By using our Services, you consent to our collection, use, and disclosure of your personal information as outlined in our Privacy Policy. If you disclose confidential or proprietary information to Wylfris Systems Inc., we will protect such information in accordance with reasonable business practices. However, we are not responsible for unauthorized access or disclosure caused by circumstances beyond our reasonable control. Information that is publicly available or independently developed is not considered confidential.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, for the resolution of any disputes arising from these Terms or your use of our Services.
Before pursuing formal legal action, both parties agree to attempt resolution through good-faith negotiation. If negotiation fails, either party may pursue mediation or arbitration as permitted by law. Any legal action or arbitration shall be conducted in Toronto, Ontario, under the laws of the Province of Ontario.
Wylfris Systems Inc. reserves the right to amend these Terms at any time without prior notice. Your continued use of our Services following the posting of revised Terms constitutes your acceptance of such amendments. We encourage you to review these Terms periodically to stay informed of any updates. For significant changes, we will endeavor to provide advance notification.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to render it valid and enforceable. The remaining provisions shall continue in full force and effect. If any provision cannot be modified to be enforceable, it shall be severed, and the remaining Terms shall remain binding.
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Wylfris Systems Inc. regarding your use of our Services and supersede all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral. No course of dealing or usage of trade shall modify these Terms.
